Between:

ACE/Security Laminates Inc. and its group of Companies

And

hereafter referred to as "Agent" with representation of themselves as an individual, collectively and with regards any and all companies that "Agent" maybe party to or associated with, be it for any particular purpose in this present term and future.

WHEREAS,

ACE/SECURITY LAMINATES agrees to furnish "Agent" and /or his affiliates, certain Confidential information relating to the business affairs of ACE/SECURITY LAMINATES for the purpose of evaluating the business relationship and strategies f and between ACE/SECURITY LAMINATES and "Agent"

WHEREAS,

"Agent" and/or his affiliates will review, examine, inspect or obtain such information only for the purposes described above, and agrees to hold such information confidential pursuant to the terms of this agreement.

BE IT KNOWN, that ACE/SECURITY LAMINATES will furnish to "Agent" and/or his affiliates certain confidential information. "Agent" to hold this information confidential on the following terms and conditions.

1. 1. "Agent" agrees to hold all confidential or proprietary information or trade secrets ("information") in trust and confidence and agrees that it shall be only for the contemplated purpose in furtherance of a working relationship between ACE/SECURITY LAMINATES and "Agent". Said information shall not be used to any other purpose, or disclosed to any person or entity except employees or clients of "Agent" and/or his affiliates who have a need to know in respect to furthering the business of ACE/SECURITY LAMINATES and "Agent".
2. 2. All Confidential Information disclosed by ACE/SECURITY LAMINATES to "Agent" under this Confidentiality Agreement in tangible form (including, without limitation, information incorporated in computer software or held in electronic storage media) shall be and remain property of ACE/SECURITY LAMINATES. All such Confidential Information shall be returned to ACE/SECURITY LAMINATES promptly upon written request and shall not thereafter be retained in any form by "Agent". The rights and obligations of the parties under this agreement shall survive any such return of Confidential Information.
3. 3. "Agent" further agrees to hold all "information" in confidence, and will not use less than the same degree of care to avoid disclosure of such "information" as if it were the property of "Agent". "Agent" will not in any manner disclose, publicize, advertise, exploit, develop or market in any manner the discussions that give rise to the Confidentiality Agreement or the "information" covered by this/its Confidentiality Agreement except as expressly authorized by written instrument executed by ACE/SECURITY LAMINATES.
4. 4. It is understood that the term "affiliate" shall mean any person or entity controlling, controlled by or under common control with a party.
5. 5. It is understood that "Agent" shall have no obligation with respect to any information known by "Agent" or generally known within the industry prior to the date of this agreement, or becomes common knowledge within the industry thereafter.
6. 6. For the purposes of this Confidentiality Agreement, "Confidential information" means all information in whatever form transmitted relating to the past, present or future business affairs of ACE/SECURITY LAMINATES or confidential information ACE/SECURITY LAMINATES has in it's possession under obligations of confidential of another party, including without limitation, Business Plans, Operations or Systems Plans, Marketing Trademark applications, manufacturers, markets, third party agreements and strategic resources and other proprietary information relating to the affairs of ACE/SECURITY LAMINATES.
7. 7. This Confidentiality Agreement:
   
   a.is the complete agreement between ACE/SECURITY LAMINATES and "Agent" concerning the subject matter hereof and supersedes any prior such agreements;
   
   b. may not be amended in any manner or modified except in writing signed by the parties, and
   
   c. shall be governed by and construed in accordance with the laws of the Province of Ontario, with legal jurisdiction within the courts of the Province of Ontario district of Ottawa, Ontario Canada, without regard to it's choice of law provisions.

If any provision of this Confidentiality Agreement is found to be unenforceable, the remainder shall be enforced as fully as possible and the unenforceable provision shall be deemed modified to the limited extent required to permit it's enforcement in a manner most closely approximating the intention of the parties as expressed herein.
